Welcome to FindMyStudDog.com (“FMSD,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our platform, including all services, features, content, and transactions facilitated through the website and any associated mobile applications or services (collectively, the “Platform”).
By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms, our Privacy Policy, and our Dispute and Refund Policy, each of which is incorporated by reference. If you do not agree to these Terms, do not use the Platform.
1. Platform Overview
FindMyStudDog is a specialized marketplace designed to connect stud dog owners (“Sellers”) with breeders seeking stud services (“Buyers”).
- Listing and discovery of stud dogs
- Communication between Buyers and Sellers
- Booking and payment processing
- Shipment coordination and tracking
- Live breeding coordination
- Structured dispute handling
FMSD is not:
- A breeder
- A veterinary provider
- A genetic advisor
- A guarantor of breeding outcomes
- A supervisor or participant in live breedings
2. Eligibility & Accounts
By using the Platform, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into a binding agreement
- If you are using the Platform on behalf of a business entity, you have the authority to bind that entity to these Terms
- All information you provide is accurate, current, and complete, and you will update it promptly if it changes
- You will maintain the confidentiality of your account credentials and are responsible for all activity that occurs under your account
- You will notify FMSD promptly of any unauthorized use of your account
FMSD reserves the right to suspend or terminate any account at its sole discretion, with or without notice, including for:
- Misrepresentation of identity, animals, or records
- Fraudulent activity or suspected fraud
- Violation of these Terms or any Platform policy
- Inactivity, at FMSD’s discretion
Upon termination, your right to use the Platform ceases immediately. Any pending transactions or held funds will be handled in accordance with the Dispute and Refund Policy. Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will survive.
3. Marketplace Structure & Transactions
3.1 Booking Process
- Buyers submit booking requests based on availability
- Sellers may approve or decline requests
- Once approved, payment is collected through the platform
3.2 Payment Handling
All payments are processed through FMSD-integrated payment systems. FMSD collects payment from the Buyer, holds funds until fulfillment conditions are met, and deducts applicable platform fees.
FMSD uses third-party payment processors to facilitate transactions. By using the Platform, you agree to be bound by the terms and conditions of any such payment processor in addition to these Terms. FMSD does not store full payment card information on its servers.
3.3 Seller Payouts
Seller payouts are released only after shipment is confirmed as delivered via tracking and a four (4) day hold period has passed. This hold period allows for delivery confirmation, initial issue reporting, and dispute review if necessary.
4. Fees
FMSD may charge:
- A Buyer Protection Fee (non-refundable except at FMSD discretion)
- A Seller Service Fee deducted from earnings
Fee amounts are disclosed to users prior to completing a transaction. FMSD reserves the right to modify its fee structure at any time upon reasonable notice to users. Continued use of the Platform after any fee change constitutes acceptance of the updated fees.
5. Cancellations & Refunds
5.1 Before Shipment
If a Buyer cancels before shipment, the stud fee will be refunded. The Buyer Protection Fee is non-refundable. FMSD may issue exceptions at its discretion.
5.2 After Shipment
Once shipment has been initiated, transactions are considered final. No cancellations or refunds will be issued unless otherwise provided under the Dispute and Refund Policy.
5.3 Exception Clause
FMSD may, at its sole discretion, issue refunds, credits, or corrective actions in cases involving verified seller failure, material misrepresentation, or confirmed service breakdown.
6. Fulfillment Timing & Collection Obligations
Due to the time-sensitive nature of breeding, Sellers are required to collect and ship semen on the confirmed booking date.
In the event a Seller is unable to fulfill on the scheduled date due to circumstances such as collection failure, veterinary availability, or other unforeseen issues, the Seller may attempt to fulfill the booking on the next available day, provided that such timing remains viable for successful breeding.
7. Buyer Responsibilities
Buyers agree to:
- Provide accurate and complete information about their female dog
- Ensure proper breeding timing, including progesterone testing and interpretation
- Be available to receive shipments or promptly retrieve them
- Utilize qualified veterinary professionals where appropriate
Timing Responsibility
The Buyer is solely responsible for determining appropriate breeding timing.
FMSD and Sellers are not responsible for failed breedings due to improper timing or inaccurate progesterone readings.
Delivery Responsibility
The Buyer is responsible for ensuring availability to receive shipments.
Failure to receive or retrieve a shipment does not constitute grounds for refund or dispute.
Veterinary Handling
Buyers are responsible for all handling and veterinary procedures after delivery.
FMSD and Sellers are not responsible for outcomes resulting from improper handling or veterinary actions.
Compliance with Law
Buyers are responsible for ensuring that their use of the Platform and any breeding activities comply with all applicable local, state, and federal laws and regulations, including any licensing or permit requirements for breeding in their jurisdiction.
8. Seller Responsibilities
Sellers agree to:
- Provide accurate and unaltered health records
- Represent stud dogs truthfully
- Fulfill bookings on the confirmed date
- Package and ship semen using accepted industry standards
- Provide tracking information through the platform
Failure to meet these obligations may result in financial penalties, listing removal, or account suspension.
Sellers are responsible for ensuring that their breeding operations and use of the Platform comply with all applicable local, state, and federal laws and regulations, including any licensing, permit, or registration requirements applicable to breeding or the sale of stud services in their jurisdiction.
9. Shipping & Carrier Responsibility
Sellers are responsible for proper shipment preparation and dispatch. FMSD and Sellers are not responsible for delays caused by third-party carriers, including FedEx, UPS, or similar services. Buyers acknowledge that carrier delays may impact breeding timing. Additional shipments requested due to carrier delays will be subject to Seller terms and may require additional payment.
10. Delivery & Signature Requirements
Sellers may elect to require a signature upon delivery.
Buyers are responsible for meeting delivery requirements, including signature confirmation if applicable.
If a Buyer requests delivery without signature confirmation, the Buyer assumes all associated risks, including loss or misdelivery.
11. Seller-Defined Terms & Guarantees
Sellers may define breeding terms, including rebreeding policies, shipment guarantees, and timing conditions. FMSD reserves the right to review, modify, or refuse enforcement of any Seller-defined terms deemed unreasonable, misleading, or inconsistent with Platform standards.
Seller-defined terms are supplemental to these Terms and the Dispute and Refund Policy. In the event of a conflict between a Seller’s terms and these Terms or the Dispute and Refund Policy, the Platform documents will control.
12. Documentation & Verification
FMSD reserves the right to request supporting documentation from Buyers at any time, including veterinary records, health documentation, and progesterone testing data. Buyers agree to provide such documentation and authorize verification with their veterinarian if requested.
Failure to provide documentation may result in denial of claims, loss of protections, or account action.
13. Disputes & Resolution
FMSD may, at its sole discretion, review disputes, request documentation, and make final determinations. Possible outcomes include no action, refund or partial refund, platform credit, or Seller penalties.
FMSD is not obligated to intervene in all disputes but retains full authority when it chooses to do so.
For disputes between users and FMSD itself (as opposed to disputes between Buyers and Sellers regarding a transaction), see Section 20 (Governing Law and Dispute Resolution).
14. Health Verification
Health records verification indicates documentation has been reviewed. It does not guarantee fertility, genetic outcomes, or breeding success.
15. Prohibited Conduct
Users may not:
- Circumvent the platform
- Share contact information to avoid fees
- Conduct off-platform transactions
- Misrepresent animals or records
Violations may result in account termination, loss of funds, or platform bans.
16. Assumption of Risk
Breeding involves biological and logistical variables outside the control of FMSD, including but not limited to semen viability, fertility, carrier performance, veterinary handling, and the inherent unpredictability of reproductive outcomes. For live breedings, additional risks include injury to either animal, disease transmission, facility conditions, and travel costs. Buyers and Sellers acknowledge and expressly accept these inherent risks when using the Platform. Use of the Platform does not create any guarantee, warranty, or assurance regarding breeding success.
17. Limitation of Liability
To the fullest extent permitted by applicable law, FMSD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Platform, regardless of the theory of liability.
Without limiting the foregoing, FMSD shall not be liable for breeding outcomes, pregnancy success or failure, semen quality, veterinary decisions, or carrier delays.
In no event shall FMSD’s total aggregate liability to any user for all claims arising out of or related to the Platform or these Terms exceed the total fees paid by that user to FMSD during the twelve (12) months preceding the claim.
Without limiting the foregoing, FMSD shall not be liable for breeding outcomes, pregnancy success or failure, semen quality, veterinary decisions, or carrier delays.
18. Indemnification
You agree to indemnify, defend, and hold harmless FMSD and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your breeding activities or transactions conducted through the Platform; (c) your violation of these Terms or any applicable law; (d) your violation of any third party’s rights, including intellectual property rights; or (e) any content you submit, post, or transmit through the Platform.
19. Modifications to Terms
FMSD reserves the right to modify these Terms at any time. If we make material changes, we will provide notice through the Platform or by email to the address associated with your account at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform before the changes take effect.
20. Governing Law
20.1 Governing Law. These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
20.2 Informal Resolution. Before filing any formal proceeding, you agree to attempt to resolve the dispute informally by contacting FMSD at info@findmystuddog.com – FMSD will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed as set forth below.
20.3 Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or any transaction facilitated through the Platform that is not resolved through informal resolution shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in El Dorado County, California, or at another mutually agreed location, and may be conducted by videoconference where permitted by the arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
20.4 Class Action Waiver. You agree that any dispute resolution proceeding will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.
20.5 Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court in El Dorado County, California, if the claim falls within that court’s jurisdictional limits.
20.6 Injunctive Relief. Nothing in this section prevents FMSD from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of FMSD’s intellectual property rights, confidential information, or these Terms.
21. Disclaimer of Warranties
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. FMSD does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. FMSD makes no representations or warranties regarding the accuracy, reliability, or completeness of any content, listings, health records verifications, or user-provided information on the Platform. Your use of the Platform is at your sole risk.
22. Electronic Communications
By creating an account, you consent to receive electronic communications from FMSD, including account notifications, transaction updates, booking confirmations, and policy changes. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
If you opt in to receive SMS messages, you consent to receive text messages at the phone number you provide. Message frequency varies. Message and data rates may apply. You may opt out of SMS messages at any time by replying STOP. For assistance, reply HELP. Your consent to receive marketing messages is not a condition of any purchase or use of the Platform.
